Job Overview:

A distinguished law firm is seeking a mid-level to senior Corporate Associate with expertise in public company reporting, compliance, governance, and capital markets transactions. This role entails managing SEC compliance, disclosure requirements, and Nasdaq/NYSE regulations, while also representing issuers or investment banks in a variety of capital markets transactions. Preference is given to candidates with experience in technology and life sciences sectors.

Location:

  • San Francisco, CA

Duties:

  • Manage compliance and reporting for public companies, including SEC filings, governance, and Nasdaq/NYSE standards
  • Address daily governance and disclosure matters for public companies
  • Represent clients in capital markets transactions, including:
    • Initial Public Offerings (IPOs)
    • Equity and debt offerings
    • Private investments in public entities (PIPEs)
    • At-the-market offerings
  • Provide guidance to clients, particularly those in the technology and life sciences sectors, on capital market-related issues

Requirements:

  • Experience with public company reporting, compliance, governance, and SEC regulations
  • Proven track record with capital markets transactions, representing issuers or investment banks
  • Familiarity with Nasdaq/NYSE compliance standards
  • Experience working with clients in the technology or life sciences industries is advantageous

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Active bar membership in good standing within the relevant jurisdiction(s)

Skills:

  • Strong understanding of public company compliance, governance, and capital markets
  • Proficiency in SEC compliance and regulatory matters
  • Excellent communication skills with a client-focused approach
  • Ability to manage multiple transactions simultaneously and meet deadlines
