A law firm seeks a talented Corporate Associate Attorney for its growing San Francisco office. This position offers the opportunity to work in a dynamic, fast-paced corporate practice with a focus on mergers and acquisitions (M&A), securities, venture capital, and private equity transactions. The ideal candidate will be entrepreneurial, business-minded, and eager to contribute to expanding the firm’s presence in the Bay Area market. The role requires both independent work and collaboration with experienced professionals to support various corporate transactions and client relationships.

Duties:

  • Provide legal counsel on a variety of corporate matters, including mergers and acquisitions, securities, venture capital, and private equity transactions.
  • Draft and review legal documents such as agreements, contracts, and regulatory filings.
  • Collaborate with senior attorneys and clients to develop strategies for business transactions.
  • Conduct legal research to support complex corporate matters and provide insights to clients.
  • Manage multiple tasks and prioritize effectively to meet deadlines and client needs.
  • Work in coordination with a team of attorneys and legal staff to ensure efficient handling of corporate matters.
  • Professionally engage with clients, fostering strong relationships and providing high-quality legal services.

Requirements:

  • 2+ years of experience in corporate law, specifically with M&A, securities, venture capital, and/or private equity.
  • Demonstrated ability to handle complex legal transactions and provide strategic business advice.
  • Exceptional written and oral communication skills.
  • Professional demeanor and ability to collaborate effectively with clients and team members.
  • Strong organizational skills and attention to detail.
  • Ability to balance competing priorities and manage a busy caseload.
  • Willingness to work from the office approximately 60% of the time, in alignment with the firm's policies.

Education:

  • JD or LLM from an ABA-accredited law school.

Certifications:

  • Admission to the California Bar or eligibility for admission.

Skills:

  • Strong transactional experience in corporate law, including M&A, securities, venture capital, and private equity.
  • Excellent research, drafting, and communication abilities.
  • Ability to prioritize, multitask, and work under pressure.
  • Strong organizational and detail-oriented skills.
  • Collaborative mindset and ability to work in a team environment.
