Job Overview:
A leading law firm is seeking a highly skilled Finance and Restructuring Associate to join its Finance & Restructuring practice group. This position offers the opportunity to work with financial institutions, borrowers, and corporate clients in complex commercial finance transactions. The ideal candidate will have strong experience in corporate finance, including drafting finance-related documents and advising on legal compliance matters. This is a hybrid role, providing flexibility in work location and an opportunity to contribute to high-profile cases.

Location:

  • Dallas, TX

Duties:

  • Draft and negotiate documents related to commercial finance transactions, including loan agreements, security agreements, and intercreditor agreements.
  • Provide legal counsel on covenant compliance and related finance matters.
  • Lead and manage due diligence teams in connection with transactions.
  • Advise clients on structuring and negotiating complex finance deals, including loan originations and real estate financings.
  • Handle multiple assignments with a high degree of autonomy, ensuring timely and accurate delivery of work.
  • Collaborate with both internal teams and clients to achieve successful outcomes.

Requirements:

  • 3 to 6 years of experience in corporate finance, with expertise in commercial finance transactions.
  • Proven experience in drafting finance-related documents such as loan and security agreements.
  • Strong advisory skills in relation to covenant compliance, transaction structuring, and legal regulations.
  • Ability to lead and manage due diligence teams, as well as collaborate with specialists in various areas.
  • Excellent time management and organizational skills, with the ability to prioritize tasks effectively.
  • Strong written and verbal communication skills.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the Bar in the relevant state jurisdiction(s).

Skills:

  • Expertise in corporate finance, commercial finance transactions, and real estate financings.
  • Proficiency in drafting, reviewing, and negotiating finance-related legal documents.
  • Strong leadership and management capabilities in handling due diligence and transaction teams.
  • Exceptional organizational and multitasking abilities, with a keen attention to detail.
  • High level of professionalism and client service skills.
  • Proficiency in Microsoft Office Suite and legal research tools.
