A law firm in Los Angeles, CA, seeks a Public Company Counsel with 5+ years of relevant experience. The ideal candidate will have deep experience advising public companies on securities law compliance, disclosure, and corporate governance matters. They will work closely with other Public Company Advisory group members and independently manage day-to-day securities law counseling, SEC reporting, and corporate governance matters for a growing public company client base. Superior academic credentials and strong communication skills are required. The ideal candidate will have a deep understanding of securities laws and direct experience in public company compliance and corporate governance.

Duties:

  • Provide comprehensive legal advice and counsel to public companies on securities law compliance, disclosure, and corporate governance matters.
  • Independently manage securities law counseling, SEC reporting, and corporate governance matters.
  • Collaborate with other Public Company Advisory group members to address client needs effectively.
  • Stay updated on regulatory developments and industry trends relevant to public company compliance.
  • Draft and review various legal documents, including SEC filings, proxy statements, and board resolutions.
  • Conduct legal research and analysis to support client objectives.
  • Assist in the development and implementation of corporate governance policies and procedures.

Requirements:

  • 5+ years of prior relevant experience advising public companies on securities law compliance, disclosure, and corporate governance matters.
  • Superior academic credentials, including a Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the California State Bar or eligibility for reciprocity.
  • Excellent written and verbal communication skills.
  • Ability to work independently and manage multiple tasks efficiently.
  • Strong analytical and problem-solving skills.
  • Deep understanding of securities laws and regulations applicable to public companies.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the California State Bar or eligibility for reciprocity.

Skills:

  • Comprehensive knowledge of securities laws, regulations, and corporate governance principles.
  • Strong legal research and writing skills.
  • Ability to provide strategic legal advice and counsel to clients.
  • Proficiency in managing SEC reporting and compliance obligations.
  • Excellent interpersonal skills and ability to work effectively in a team environment.
  • Attention to detail and ability to meet tight deadlines.
  • Experience working with public company clients is preferred.

This is one of the area's oldest and most respected firms, and it is big. This firm also has a lot of really important cases and work. If you read the papers, sooner or later you will come across a major deal or two that involve these heavy hitters who, incidentally, also make terrific money. The culture of this firm, in our opinion, is friendly and conservative. What this firm does very well is give junior associates a tremendous amount of responsibility. Responsibility it good. In all respects, attorneys who come out of this firm are very competent and sought out practitioners. This firm is also very even handed in its compensation of associates. This firm is in a great section of downtown Los Angeles and we like the art there (we are told it is very expensive). Substantively, this is a really super firm, and there is a not a lot of billable hour pressure. Associates here are encouraged to do good work, and that appears to be the standard that is applied in their reviews.
