A law firm seeks an experienced associate to join its dynamic Technology & Intellectual Property Transactions team in Chicago. The firm is looking for an attorney with 3-6 years of experience in handling technology and IP-driven transactions. This role provides the opportunity to engage in a wide range of matters for both public and private companies across industries such as software, pharmaceuticals, media, energy, and consumer products. The ideal candidate will work on complex transactions including mergers and acquisitions, joint ventures, and licensing agreements, contributing to both domestic and international projects.

Duties:

  • Advise clients on technology and intellectual property-focused transactions such as mergers, acquisitions, joint ventures, and strategic alliances.
  • Draft, negotiate, and review a variety of contracts including software agreements, R&D collaborations, outsourcing agreements, and licenses (patents, trademarks, copyrights, data).
  • Work on high-profile matters across industries such as pharma, consumer products, and media.
  • Collaborate with internal teams and clients to develop and execute legal strategies tailored to business goals.
  • Manage client relationships, providing high-quality legal counsel while addressing complex legal issues.
  • Handle international and domestic transactions, ensuring compliance with relevant regulations.

Requirements:

  • 3-6 years of relevant experience in technology and IP-related transactions.
  • Proven ability to manage and navigate complex legal issues in corporate transactions, including mergers and acquisitions, licensing, and joint ventures.
  • Experience advising on both domestic and international transactions.
  • Strong drafting and negotiation skills with attention to detail.
  • Excellent organizational, communication, and problem-solving skills.
  • Ability to manage multiple projects and prioritize effectively.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic record with demonstrated success in legal practice.

Certifications:

  • Admission to the Illinois State Bar or eligibility to obtain admission promptly.

Skills:

  • Proficient knowledge of technology, intellectual property, and corporate law.
  • Expertise in drafting and negotiating a wide variety of commercial agreements, including IP licenses and collaboration agreements.
  • Ability to work independently and as part of a collaborative team.
  • Skilled at communicating complex legal matters clearly to clients.
  • Strategic thinking with the ability to align legal strategies with business objectives.
  • Experience with a range of industries including software, pharmaceuticals, and media is preferred.
