A law firm seeks an experienced associate to join its Public Companies practice in New York. This role is designed for a mid to senior-level attorney with over five years of experience advising public companies on a broad range of corporate matters. The successful candidate will have expertise in corporate governance, SEC reporting and compliance, and capital markets transactions. This position offers the opportunity to work with top-tier clients in a collaborative environment while managing complex legal matters and developing client relationships.

Duties:

  • Provide legal counsel to public companies on a variety of issues, including corporate governance, SEC reporting, compliance, and disclosure obligations.
  • Handle capital markets transactions, ensuring compliance with relevant regulations and representing companies in complex securities matters.
  • Develop and maintain strong relationships with clients, managing day-to-day client needs and workflow demands.
  • Prepare and review legal documents, including SEC filings, corporate governance materials, and regulatory disclosures.
  • Advise clients on matters related to board composition, shareholder matters, and corporate structuring.
  • Collaborate with other legal professionals and departments within the firm to support the client's business strategies and objectives.
  • Stay updated on regulatory changes and trends in corporate law, offering proactive guidance to clients.

Requirements:

  • Minimum of 5 years of experience in advising public companies on corporate governance, SEC compliance, and capital markets transactions.
  • Proven experience managing client relationships and handling complex legal matters independently.
  • Strong writing, research, and oral communication skills.
  • Ability to work well both independently and as part of a team in a fast-paced environment.
  • Demonstrated capability in handling sophisticated legal issues and providing strategic legal counsel.

Education:

  • Juris Doctor (JD) degree from a nationally recognized law school.

Certifications:

  • Admission to the bar in New York or eligibility to become admitted.

Skills:

  • Corporate Governance: Knowledge of advising clients on board matters, corporate policies, and shareholder relations.
  • SEC Reporting & Compliance: Experience in managing SEC filings, public company disclosures, and regulatory compliance.
  • Capital Markets: Experience representing clients in securities offerings, mergers, acquisitions, and other capital market transactions.
  • Client Management: Ability to foster and manage strong client relationships, providing day-to-day legal advice.
  • Legal Drafting & Review: Strong skills in drafting legal documents, including SEC filings and corporate governance materials.
  • Analytical & Strategic Thinking: Ability to analyze complex legal issues and provide strategic, business-oriented solutions.
  • Collaboration: Comfort working as part of a team, while also independently managing a caseload of sophisticated legal matters.
