The ideal candidate will bring 4-6 years of experience in corporate finance, specifically dealing with financial institutions and borrowers on commercial finance transactions. This role involves drafting loan, security, and intercreditor documents, advising on covenant compliance, leading due diligence teams, and managing specialists. The successful candidate will demonstrate excellent writing skills, superior academic credentials, and the ability to handle multiple assignments with minimal supervision.

Duties and Responsibilities

  • Draft, negotiate, and review loan, security, intercreditor, and related documents for corporate finance transactions.
  • Provide legal advice on covenant compliance to ensure adherence to financial agreements and regulatory standards.
  • Lead and manage due diligence teams, overseeing the review and analysis of financial documents.
  • Supervise specialists involved in transaction processes, including financial analysts and paralegals.
  • Collaborate with clients, financial institutions, and other stakeholders to facilitate and close transactions.
  • Maintain accuracy and compliance in all legal documentation and transaction processes.
  • Efficiently manage multiple projects simultaneously, delivering high-quality results with minimal supervision.
  • Address and resolve complex legal issues related to commercial finance and real estate financings.

Requirements

  • 4-6 years of experience in corporate finance, with a focus on commercial finance transactions, including loan originations and real estate financings.
  • Experience in drafting loan, security, and intercreditor documents and providing counsel on covenant compliance.
  • Strong academic background, including a JD from an accredited law school.
  • Exceptional writing skills with keen attention to detail.
  • Proven ability to manage multiple assignments independently and effectively.
  • Advanced analytical and problem-solving skills.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Bachelor’s degree in Finance, Accounting, or a related field is preferred.

Certifications

  • Admission to the Indiana Bar (or eligibility to obtain admission).
  • Certification or specialization in finance or commercial transactions is preferred but not required.
