Job Overview: A law firm in Chicago, IL, is seeking a Mid-Level Associate Attorney with 3-6 years of experience in mergers and acquisitions transactions. The ideal candidate should possess superior academic credentials from a top-tier law school, previous experience at a large law firm, and exceptional client management skills.

Duties:

  • Work on all aspects of mergers and acquisitions transactions, including public and private mergers and acquisitions, corporate reorganizations and restructurings, private equity and venture capital investments, shareholder activism, takeover defense counseling, and corporate governance.
  • Conduct legal research and analysis related to transactional matters.
  • Draft and review transactional documents, including contracts, agreements, and regulatory filings.
  • Collaborate with partners and senior associates to manage client relationships and ensure the successful completion of transactions.
  • Assist in due diligence investigations and preparation of due diligence reports.
  • Provide strategic advice and counsel to clients on legal matters related to mergers and acquisitions.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Illinois State Bar or eligibility for reciprocity.
  • 3-6 years of experience working on mergers and acquisitions transactions at a reputable law firm.
  • 3-6 years of experience working on all aspects of mergers and acquisitions transactions, in both US and cross-border deals, including public and private mergers and acquisitions, corporate reorganizations and restructurings, private equity and venture capital investments, shareholder activism, and takeover defense counseling, and corporate governance.
  • Excellent written and verbal communication skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Demonstrated commitment to delivering high-quality legal services and exceeding client expectations.

Education:

  • Juris Doctor (J.D.) degree from a top-tier law school.

Certifications:

  • Admission to the Illinois State Bar or eligibility for reciprocity.

Skills:

  • Proficiency in legal research and writing.
  • Strong understanding of corporate and securities laws.
  • Ability to manage multiple tasks and prioritize workload effectively.
