A law firm seeks an experienced attorney for an Of Counsel position specializing in franchise and distribution law within a transactional practice. This role requires in-depth knowledge of U.S. franchise regulations, with additional experience in international franchising and mergers & acquisitions as a plus. Responsibilities include drafting franchise-related agreements, preparing regulatory filings, and advising on complex business transactions. This is a flexible opportunity, allowing for remote work or placement in the Minneapolis office.

Duties

  • Draft and review franchise agreements, disclosure documents, and other regulatory filings to ensure compliance.
  • Advise clients on regulatory and transactional franchise matters, including business expansions, restructurings, and franchise-related M&A transactions.
  • Provide counsel to both U.S.-based and international clients on franchise-related issues.
  • Collaborate with clients ranging from start-up franchisors to large, established brands, as well as private equity firms involved in franchise operations.
  • Participate in strategic planning and offer insights on compliance with U.S. and international franchise regulations.

Requirements

  • At least 8 years of experience in transactional franchise law, including extensive familiarity with U.S. franchising regulations.
  • Active State Bar admission in Minnesota or eligibility for admission via waiver.
  • Proven track record of drafting and managing franchise agreements and regulatory documentation.
  • Exceptional analytical skills and the ability to advise on complex legal issues.
  • Ability to work both independently and as part of a collaborative team.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Active membership in good standing with the Minnesota State Bar or eligibility for admission via waiver.

  • Proficient in drafting and managing complex franchise agreements and regulatory filings.
  • Strong analytical, organizational, and client management skills.
  • Excellent written and verbal communication abilities.
