Duties and Responsibilities:

  • Provide legal counsel on various tax issues including mergers and acquisitions, capital markets, and corporate finance.
  • Advise clients on equity financings, technology transfers, and complex licensing and collaboration arrangements.
  • Develop and implement domestic and international tax planning strategies.
  • Conduct thorough tax research and analysis to support legal arguments and recommendations.
  • Draft, review, and negotiate tax-related agreements and documents.
  • Represent clients in tax-related disputes and proceedings.
  • Stay current with changes in tax laws and regulations, and assess their impact on clients.
  • Collaborate with other attorneys and professionals within the firm to address clients' legal needs comprehensively.
  • Prepare and present reports and recommendations to clients and stakeholders.
  • Manage multiple client matters efficiently while maintaining high-quality work.

Requirements:

  • Minimum of 5+ years of experience in tax law, with a strong emphasis on mergers and acquisitions, capital markets, and corporate finance.
  • Demonstrated expertise in advising on equity financings, technology transfers, and complex licensing and collaboration arrangements.
  • Proven track record in both domestic and international tax planning.
  • Excellent verbal, written, and interpersonal communication skills.
  • Ability to work effectively in a fast-paced and dynamic environment.
  • Superior academic credentials and a strong work ethic.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law in New York.
