Corporate M&A Private Equity Associate Attorney

A law firm in West Palm Beach, FL, is seeking a Corporate M&A Private Equity Associate Attorney with 4-6 years of M&A and private equity transactional experience in an Am Law 100 firm. The ideal candidate will possess excellent writing and analytical skills, experience in handling complex M&A and private equity transactions, and a strong background in corporate law. A Juris Doctor degree from an ABA-accredited law school and bar admission or eligibility to obtain admission promptly in Florida are required.

Duties:

• Lead and support M&A and private equity transactions, including negotiations, due diligence, and documentation.
• Draft and review complex transaction agreements, including purchase agreements, merger agreements, and private equity investment documents.
• Conduct detailed legal research and analysis to support transaction structures and strategies.
• Collaborate with clients and internal teams to develop and implement effective transaction strategies.
• Manage and coordinate transaction processes, including preparing transaction-related documents and managing client communications.
• Provide legal advice and guidance on corporate governance, regulatory compliance, and transaction-related issues.
• Handle post-closing integration and compliance matters.

Requirements:

• 4-6 years of M&A and private equity transactional experience in an Am Law 100 firm.
• Experience in managing complex transactions and providing strategic legal advice.
• Excellent writing, analytical, and problem-solving skills.
• Ability to handle multiple projects and deadlines in a fast-paced environment.

Education:

• Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

• Bar admission or eligibility to obtain admission promptly in the jurisdiction of the resident office location (Florida).
