A law firm seeks a driven Mid-Level M&A Corporate Associate Attorney to join its dynamic team in Del Mar Heights, California. Duties

  • Prepare transaction documents, including basic agreements and contracts.
  • Conduct due diligence reviews and assist in drafting disclosure schedules.
  • Support transactions by drafting organizational documents and obtaining necessary approvals.
  • Prepare corporate formation and transfer documents in connection with deals.
  • Organize and manage data rooms, due diligence memoranda, and rep/warranty calls.
  • Assist in securities law analysis and transactions as part of the deal process.

Requirements

  • Active membership in the California Bar with strong academic credentials.
  • 2-3 years of experience in mergers and acquisitions, including supporting the due diligence and transaction documentation processes.
  • Solid understanding of M&A and financing due diligence, deal structures, and corporate authority.
  • Strong analytical and critical thinking skills.
  • High attention to detail and ability to work efficiently under pressure.
  • Team-oriented with excellent communication and interpersonal skills.
  • Strong commitment to professionalism, client service, and business development.

Education

  • Juris Doctor (JD) from an accredited law school.
