Job Title: Fund Formation Associate Attorney

Job Location: Richmond, VA

Job Overview:

A prestigious law firm in Richmond, VA, is seeking an experienced Associate Attorney to join its Corporate and Private Equity Department. The successful candidate will support the formation, structuring, capital raising, and ongoing management of various alternative investment funds, including private equity, real estate, mezzanine, and other funds. This is an exciting opportunity for a motivated individual to be part of a collaborative and innovative legal team focused on complex fund formation matters.

Duties:

  • Assist in the formation, structuring, and capital raising of private investment funds across various strategies (private equity, real estate, mezzanine, hedge funds, evergreen, and hybrid funds).
  • Draft and negotiate key documents such as limited partnership and limited liability company agreements.
  • Handle regulatory compliance, including Regulation D and other securities laws governing private placements.
  • Advise clients on capital-raising transactions, programmatic joint ventures, and equity investment processes for one-off investment transactions.
  • Work directly with institutional investors to review and identify potential issues in fund documentation.
  • Manage ongoing compliance for fund managers, particularly in relation to the Advisers’ Act and other applicable registration and exemption issues.
  • Collaborate with legal and business teams, providing expert guidance from inception to closing on all transactions.
  • Draft offering documents, including Private Placement Memorandums (PPMs).

Requirements:

  • 3-4 years of experience in a large law firm, focusing on representing private fund sponsors and institutional investors.
  • Proven experience in handling complex fund formation matters.
  • Substantial involvement in fund structuring, capital raising, compliance, and ongoing management.
  • Experience with related capital-raising transactions and managing equity investment processes.
  • Strong interpersonal skills and the ability to interact with legal and business teams.

Education:

  • Juris Doctor (JD) from a recognized law school.

Certifications:

  • Active Bar membership in good standing.

Skills:

  • Primary drafting experience for limited partnership agreements and limited liability company agreements.
  • Solid understanding of market fund terms and issues commonly negotiated in fund offerings.
  • Familiarity with Regulation D, securities laws, and the Advisers’ Act compliance issues.
  • Excellent written and oral communication skills.
  • Ability to work independently and handle substantive transaction documents and commercial agreements.
