Job Overview:
A well-regarded international law firm is seeking mid-level associates with experience in managing and negotiating debt finance transactions to join its Americas Banking practice. The ideal candidate will have strong academic credentials, a genuine interest in domestic and cross-border financing transactions, and the ability to thrive in a fast-paced, global environment. The role offers the opportunity to work on high-quality, multi-jurisdictional finance transactions and collaborate with diverse teams across the firm's global network.

Location:

Duties:

  • Draft, review, and negotiate commitment letters, term sheets, primary loan, and security documentation.
  • Prepare and review issues lists and summary grids for transactions.
  • Conduct legal research as required.
  • Manage deal teams and processes from initial discussions through closing and post-closing matters.
  • Oversee and conduct due diligence for financing transactions.
  • Act as the primary point of contact for clients, opposing counsel, and other legal teams.
  • Assist clients with ongoing deal administration, including amendments, joinders, interpretive questions, and collateral matters.
  • Provide direct assistance to senior lawyers on various matters arising from day-to-day legal services for international and domestic corporate clients.
  • Present at educational seminars and attend continuing education classes.
  • Mentor and train junior team members.

Requirements:

  • Minimum of two years of experience in debt finance.
  • Preferred experience includes sponsored finance, syndicated lending, acquisition/leveraged finance (borrower side), direct lending, or private credit transactions.
  • Strong academic record and intellectual curiosity.
  • Commercial and business awareness.
  • Excellent communication and time management skills.
  • Ability to manage multiple projects and remain calm under pressure.
  • Excellent drafting skills.
  • Driven by professional growth.
  • Strong professional presence and client service focus.
  • Team player with strong judgment.
  • Proactive, resourceful, and a self-starter.
  • Fluency in English required; fluency in Spanish is a plus.
  • Admitted to the bar and in good standing.

Education:

  • Juris Doctor (JD) or equivalent legal degree from an accredited institution.

Certifications:

  • Admitted to the bar in relevant jurisdictions.
