A law firm seeks a highly skilled Senior Associate to join its Private Equity and Tax Law team in New York City, NY. This role offers an exciting opportunity for a legal professional with a strong background in structuring complex private equity investments and tax strategies. The successful candidate will work closely with partners and senior associates to develop legal strategies that navigate sophisticated financial and tax matters for clients involved in private equity, debt financing, and asset-backed transactions.

Duties:

  • Assist in formulating legal strategies for private equity investments, ensuring optimal economic and regulatory structures for U.S. federal income tax purposes.
  • Advise clients, particularly sponsors, on large-scale private equity fundraising transactions, focusing on fund structures, governance documents, tax disclosures, and investor agreements.
  • Draft and negotiate the U.S. federal income tax terms for private equity deals, debt financing, and financial instruments.
  • Perform detailed tax analysis and structuring, including U.S. trade or business analysis for complex transactions, such as asset-backed financing and real estate mortgage investment conduits.
  • Provide counsel on U.S. federal income tax terms and disclosures related to Chapter 11 restructuring proceedings and associated financing arrangements.
  • Collaborate with team members to deliver innovative, tax-efficient solutions for clients across various industries.

Requirements:

  • A Juris Doctor (JD), LLM, or foreign equivalent.
  • Minimum of four years of experience as an associate or in a related occupation.
  • In-depth experience in structuring private equity investments, including tax-efficient financing arrangements, parallel funds, and corporate blockers.
  • Proven experience advising sponsors in large-scale fundraising transactions, with a strong focus on governance, tax disclosures, and investor negotiations.
  • Extensive experience in negotiating and drafting U.S. federal income tax terms for private equity, debt financing, and complex financial instruments.
  • Expertise in tax analysis and structuring for complex transactions, including asset-backed financing and real estate investment structures.
  • Experience in negotiating and drafting tax terms and disclosures in Chapter 11 restructuring proceedings.
  • Admission to practice law in the State of New York.

Education:

  • Juris Doctor (JD), LLM, or foreign equivalent from an accredited law school.

Certifications:

  • Active membership in the New York State Bar or eligibility for admission.

Skills:

  • Strong expertise in private equity structuring and tax law.
  • Advanced drafting and negotiation skills for complex legal documents and agreements.
  • Deep knowledge of U.S. federal income tax law, particularly in the context of private equity, debt financing, and asset-backed transactions.
  • Ability to analyze and structure transactions to achieve tax efficiency and compliance with regulatory requirements.
