Job Overview:
A prominent law firm is seeking a Corporate Associate with 4–6 years of experience to support its growing public companies and capital markets practice. This role includes advising public companies on regulatory and governance matters, and representing clients in a wide range of capital markets transactions. Ideal candidates will have strong experience in SEC reporting, stock exchange compliance, and a track record of working with innovative clients, especially in the technology and life sciences industries.

Location:

  • New York, NY

Duties:

  • Advise public companies on:

    • SEC reporting requirements and regulatory compliance

    • Corporate governance and board matters

    • Disclosure obligations under federal securities laws

    • Nasdaq and NYSE listing rules

  • Represent issuers and investment banks in:

    • Initial Public Offerings (IPOs)

    • Follow-on equity and debt offerings

    • Private Investments in Public Entities (PIPEs)

    • At-the-market (ATM) offerings

  • Support clients with day-to-day legal issues and strategic planning

  • Work closely with clients in the technology and life sciences sectors

Requirements:

  • 4–6 years of legal experience focused on capital markets and public company matters

  • Experience advising public companies on SEC compliance and corporate governance

  • Proven ability to manage transactional work from inception through execution

  • Background working with high-growth or publicly traded companies preferred

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active bar membership in at least one U.S. jurisdiction

  • Eligibility for admission in the office location, if not already admitted

Skills:

  • Strong knowledge of U.S. securities laws and stock exchange regulations

  • Excellent legal drafting, negotiation, and analytical skills

  • Ability to manage multiple client matters and deadlines simultaneously

  • Strong communication and collaboration skills

  • Business-oriented approach to legal problem-solving
