The ideal candidate will have 2-3 years of experience with corporate finance transactions and private placement securities offerings. This position involves structuring, negotiating, and documenting domestic and international private placements of debt and other securities, including secured and unsecured transactions, subordinated debt, project finance, and general corporate financings.

Duties

  • Structure, negotiate, and document financing arrangements for corporate credits.
  • Manage private placement securities offerings.
  • Handle domestic and international private placements of debt and other securities.
  • Negotiate and document secured and unsecured transactions.
  • Manage subordinated debt and project finance transactions.
  • Structure, negotiate, and document infrastructure project financings.
  • Negotiate lenders’ interests in project-related agreements.
  • Collaborate with clients and other attorneys to develop innovative financial solutions.
  • Ensure compliance with relevant laws and regulations.
  • Conduct legal research and draft legal documents.

Requirements

  • 2-3 years of experience with corporate finance transactions and private placement securities offerings.
  • Experience structuring, negotiating, and documenting domestic and international private debt and other securities placements.
  • Experience with secured and unsecured transactions, subordinated debt, project finance, and general corporate financings.
  • Strong understanding of corporate finance laws and regulations.
  • Excellent negotiation and drafting skills.
  • Ability to manage multiple projects and meet deadlines.
  • Strong analytical and problem-solving skills.
  • Ability to work collaboratively with clients and team members.
  • Attention to detail and high level of accuracy.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Admission to the State Bar of Illinois.
