A law firm seeks an experienced attorney to join its Mergers & Acquisitions practice in Williamsburg, VA. This position offers the opportunity to be a key player in handling complex business transactions, advising corporate clients, and managing significant aspects of deals from inception to closing. The successful candidate will have a proven track record of leading due diligence processes, drafting transaction documents, and advising C-suite executives and business owners on strategic legal matters. This role requires a highly motivated individual with excellent negotiation, drafting, and client relationship skills.

Duties:

  • Lead and manage all aspects of mergers, acquisitions, and other business transactions, including structuring, due diligence, and closing procedures
  • Draft and negotiate transaction documents related to mergers and acquisitions, asset purchases, buyouts, financing, corporate governance, and confidentiality agreements
  • Provide strategic legal advice to corporate clients on entity formation, debt and equity capital raising, and complex corporate matters
  • Work closely with clients, including C-suite executives and business owners, to address legal issues and identify practical solutions
  • Collaborate with other teams within the firm to support the client's business and legal needs across various matters
  • Manage client relationships with a focus on responsiveness, thoroughness, and detail orientation
  • Be available to work outside of regular business hours to meet deadlines when necessary

Requirements:

  • 6+ years of experience in business transactions, including mergers and acquisitions
  • Strong experience in drafting transaction documents and managing significant aspects of transactions
  • Proven ability to provide legal counsel to corporate clients and C-suite executives on business matters
  • Ability to manage complex legal issues and transactions while maintaining attention to detail and client satisfaction
  • Strong communication, negotiation, and interpersonal skills
  • Availability to work beyond standard business hours to meet deadlines, when required
  • Remote candidates licensed in states other than NC or VA will be considered

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to the bar in a relevant state (NC, VA, or other jurisdiction)

Skills:

  • In-depth knowledge of mergers and acquisitions, business transactions, and corporate governance
  • Expertise in drafting and negotiating complex transaction documents
  • Strong client relationship management and advisory skills
  • Ability to work independently and collaborate effectively with cross-functional teams
