Job Overview:

Location:

Duties:

  • Provide legal counsel on corporate governance, mergers and acquisitions (M&A), securities, and finance matters
  • Draft, review, and negotiate transactional documents, including contracts, agreements, and financing documents
  • Advise clients on fund formation and related finance matters
  • Guide clients on securities compliance and regulatory issues, including public offerings and private placements
  • Conduct legal research and provide strategic insights on corporate and securities law
  • Represent clients in negotiations, due diligence processes, and closings
  • Collaborate with senior attorneys and team members to handle complex transactions

Requirements:

  • 3+ years of experience in corporate law, mergers and acquisitions (M&A), fund formation, finance, or securities
  • Strong understanding of corporate and securities regulations
  • Experience in drafting and negotiating transactional documents
  • Excellent written and verbal communication skills
  • Strong academic credentials
  • Ability to manage multiple priorities and meet deadlines
  • Applicable bar admission in one of the specified jurisdictions

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to practice law in Florida

Skills:
