A law firm seeks a midlevel associate to join its Tax practice in the San Francisco office. The successful candidate will have 3-5 years of experience in handling transactional tax matters, with expertise in structuring and advising on tax aspects related to fund formations, mergers and acquisitions, and investments. The role offers the opportunity to work with a range of clients, including public and private companies, private funds, portfolio companies, and alternative investment vehicles. Duties:

  • Advise clients on tax considerations in fund formations, mergers and acquisitions, and limited partner investments
  • Draft and negotiate tax-related documents for complex transactions
  • Provide counsel on the tax implications of various business structures, including private equity, hedge funds, and venture capital investments
  • Manage the deal flow and ensure seamless execution of transactional tax matters
  • Collaborate with internal teams to align tax strategies with broader business objectives
  • Conduct in-depth tax analyses and provide recommendations for structuring deals in tax-efficient ways
  • Communicate with clients to ensure they understand the tax implications of their decisions and strategies
  • Contribute to the firm's thought leadership through presentations and written articles on tax-related topics

Requirements:

  • 3-5 years of transactional tax experience, gained in a law firm or equivalent setting
  • Experience advising public and private companies, private funds, and portfolio companies on tax aspects of complex transactions
  • Strong drafting and negotiation skills with attention to detail
  • Ability to manage multiple projects and clients with competing deadlines
  • Strong communication, analytical, and interpersonal skills
  • Ability to understand and advise on how particular agreements fit within the broader context of client goals and structures
  • Active membership in the California State Bar is required
  • Comfort working independently, with a proven ability to manage complex matters

Education:

  • J.D. from an accredited law school

Certifications:

  • Active membership in the California State Bar is required

Skills:

  • In-depth understanding of tax law, particularly as it relates to fund formations, investments, and M&A
  • Excellent writing, drafting, and negotiation skills
  • Strong analytical and problem-solving abilities
  • Proven ability to manage client relationships and provide tailored tax advice
