Job Overview
A prominent law firm is seeking an experienced Senior Associate or Of Counsel to join its Dallas office with a strong background in private equity and mergers and acquisitions (M&A). The ideal candidate will have experience advising private equity firms and their portfolio companies on complex transactions, such as leveraged buyouts, mergers, acquisitions, equity investments, and other corporate matters. Duties

• Advise private equity firms and their portfolio companies on various complex transactions, including mergers and acquisitions, leveraged buyouts, and equity investments.
• Draft and negotiate key transaction documents, such as purchase and merger agreements, LLC and LP agreements, and ancillary documents.
• Handle day-to-day matters related to private equity fund clients and portfolio companies.
• Work on management equity arrangements, including incentive equity and co-investment terms.
• Collaborate with internal teams on PE fund structures and documentation.

Requirements

• At least 5 years of experience in advising private equity firms and portfolio companies on complex corporate matters, particularly in M&A, buyouts, and investments.
• Strong proficiency in drafting and negotiating transaction documents.
• Texas Bar admission or eligibility to be admitted in Texas.
• Excellent communication and writing skills.

Education

• JD degree from an ABA-accredited law school with strong academic credentials.

Certifications

• Admission to the Texas Bar, or the ability to obtain it.
