Job Overview: A law firm is seeking a highly motivated and experienced Mergers and Acquisitions and Private Equity Associate Attorney to join their team in Menlo Park, CA. The ideal candidate will have 3-4 years of relevant experience in a major law firm, possess excellent academic credentials, and demonstrate superior communication skills. This role requires membership in the CA State Bar.

Key Duties and Responsibilities:

  • Advise clients on complex mergers and acquisitions, private equity transactions, and related corporate matters.
  • Conduct thorough due diligence, draft and negotiate transaction documents, and manage closing processes.
  • Collaborate with other attorneys, professionals, and staff to deliver high-quality legal services.
  • Represent clients in negotiations and other interactions with opposing parties.
  • Stay current with developments in M&A and private equity laws and regulations to provide informed legal advice.
  • Assist with structuring and advising on cross-border transactions and regulatory compliance.
  • Provide strategic counsel to clients regarding business and legal risks and opportunities.
  • Maintain and develop client relationships to drive business growth and client satisfaction.

Requirements:

  • 3-4 years of experience in mergers and acquisitions and private equity within a major law firm.
  • Membership to the CA State Bar is required.
  • Demonstrated experience in managing complex legal transactions from inception to closure.
  • Exceptional verbal and written communication skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work effectively both independently and as part of a team.
  • High level of motivation, with a proactive and client-focused approach.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Excellent academic credentials.

Certifications:

  • Active membership in good standing with the California State Bar.

  • In-depth knowledge of mergers and acquisitions, private equity, corporate governance, and related legal practices.
  • Superior drafting, negotiation, and analytical skills.
