A law firm in Austin, TX is seeking a skilled and motivated Mid-Level Private Equity Associate Attorney to join its dynamic team. The ideal candidate will possess a strong background in advising private equity firms and their portfolio companies on complex transactions, including mergers and acquisitions, leveraged buyouts, equity investments, and other general corporate matters. This role requires a high level of analytical, organizational, and communication skills, along with the ability to effectively manage multiple tasks and deadlines.

Key Responsibilities:

  • Advise private equity firms and their portfolio companies on a variety of complex transactions, including mergers and acquisitions, leveraged buyouts, equity investments, and other general corporate matters.
  • Conduct thorough legal research and provide strategic advice to clients on legal and business issues.
  • Draft, review, and negotiate transaction documents, including purchase agreements, investment agreements, and other related documentation.
  • Manage due diligence processes, including coordinating with clients and third-party advisors.
  • Effectively communicate, both verbally and in writing, with clients, lawyers, business professionals, and third parties.
  • Produce high-quality work deliverables, answer phone calls, and respond to correspondence in a timely and efficient manner.
  • Provide timely, accurate, and quality work products, ensuring deadlines and expectations are met.
  • Foster positive working relationships within the firm and with clients.
  • Comply with all firm policies and practices.
  • Engage in both physical and sedentary activities, including working at a computer for extended periods, participating in digital/virtual conference calls, and attending meetings as needed.
  • Perform all other duties, tasks, or projects as assigned.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in the state of Texas.
  • Minimum of 3 years of experience advising private equity firms and their portfolio companies in complex transactions.
  • Direct and applicable AmLaw 100 law firm or SEC experience.

Education & Certifications:

  • Juris Doctor (JD) degree.
  • Licensed to practice law in the state of Texas.

  • Demonstrated oral and written communication skills.
