Job Title: Complex Credit And Insurance Solutions Associate Attorney

Job Overview:
A prominent law firm in Charlotte, NC is seeking an experienced associate attorney to join its dynamic team specializing in complex credit fund formation and insurance solutions. The role offers the opportunity to work with global asset managers and sponsors, providing critical legal advice in the structuring and formation of sophisticated credit private funds, including rated note funds and CLO structures. The ideal candidate will have a strong foundation in private fund formation and structured credit, with a focus on providing innovative solutions to clients. Duties:

  • Draft and negotiate fund documentation, including private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, and regulatory filings.
  • Lead the fundraising process from inception to closing, managing the project and coordinating with clients and investors.
  • Interface directly with clients to ensure smooth fund formation and management, particularly in investor negotiations (side letter negotiations, reviewing subscription documents, managing the subscription process).
  • Provide comprehensive legal guidance on post-establishment compliance and distribution for private funds and structured credit funds.
  • Stay current on regulatory developments, industry trends, and legal updates related to credit funds and structured products.
  • Collaborate with senior attorneys and specialists to develop multi-dimensional strategies for clients in the private funds and structured products space.

Requirements:

  • Minimum of 4-6 years of experience in complex credit fund formation and structured credit products, particularly with private fund sponsors.
  • Prior experience with private credit or CLOs is a plus.
  • Proven track record in managing the entire process of fund formation, including documentation drafting, client interaction, investor negotiation, and closing procedures.
  • Familiarity with key federal securities laws, including the Investment Advisers Act and Regulation D, as well as exemptions to the Investment Company Act.
  • Experience in a large law firm environment is required.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to practice law in (State Bar).

Skills:

  • Strong legal writing, drafting, and negotiation skills.
  • Excellent communication skills for client and investor interactions.
  • Ability to manage complex projects and lead cross-functional teams.
  • Knowledge of securities laws and fund formation regulations.
  • High attention to detail and ability to work in a fast-paced, collaborative environment.
