Job Overview:
A law firm is seeking a qualified and experienced CFIUS and International Trade/Export Controls Associate Attorney to join its team in Philadelphia. The ideal candidate will have a strong background in handling complex international trade regulations, including matters related to the Committee on Foreign Investment in the United States (CFIUS), export controls, and International Traffic in Arms Regulations (ITAR). The candidate should possess a thorough understanding of trade compliance, enforcement, and regulatory frameworks. This role requires the ability to advise clients on international business transactions, compliance issues, and regulatory investigations.

Key Responsibilities:

  • Advise clients on international trade matters, including compliance with U.S. export controls, CFIUS regulations, and ITAR.
  • Assist in navigating the complexities of the Committee on Foreign Investment in the United States (CFIUS) process and guide on related issues.
  • Draft and review legal documents related to export control regulations, trade compliance, and national security considerations.
  • Represent clients before relevant U.S. government agencies, including the Department of Commerce, Department of State, and Department of Defense.
  • Conduct internal compliance audits and assist clients in developing trade compliance programs to ensure adherence to U.S. trade laws.
  • Collaborate with clients in addressing export licensing, voluntary disclosures, and other enforcement matters.
  • Conduct due diligence in cross-border transactions to identify and mitigate international trade risks.
  • Provide advice on the Defense Priorities & Allocations System (DPAS) and related regulations where applicable.
  • Stay current on developments in U.S. international trade law and export control regulations.
  • Work collaboratively with other legal departments and external counsel to provide comprehensive legal solutions.

Requirements:

  • 2-4 years of experience in international trade regulatory, compliance, and enforcement.
  • Hands-on experience with the Committee on Foreign Investments in the United States (CFIUS), export control regulations, and International Traffic in Arms Regulations (ITAR).
  • General knowledge of the Defense Priorities & Allocations System (DPAS) is preferred.
  • Excellent legal research, writing, and analytical skills.
  • Strong interpersonal and communication skills to interact with clients and regulatory agencies.
  • Ability to manage multiple tasks and projects in a fast-paced legal environment.
  • Detail-oriented with strong organizational and time-management skills.
  • Admitted and actively barred in Pennsylvania (PA).

Education & Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Pennsylvania Bar (PA) is mandatory.
