A law firm in Oklahoma City, OK, is seeking a Transactional Business Associate Attorney with 4+ years of experience. The ideal candidate should have prior experience in transactional law, including mergers and acquisitions (M&A), public finance, trust and estates, commercial real estate, corporate law, or secured finance. Proficiency in drafting acquisition agreements and other complex M&A and private equity transaction documents is essential. Attention to detail, excellent writing skills, a strong work ethic, and effective communication with clients are crucial attributes. A license to practice in Oklahoma is required.

 

Duties:

  • Advise clients on various transactional matters, including mergers and acquisitions, public finance, trust and estates, commercial real estate, corporate law, and secured finance.
  • Draft and review acquisition agreements, asset purchase agreements, stock purchase agreements, and other transactional documents.
  • Conduct due diligence investigations and prepare related reports.
  • Negotiate terms and conditions of transactions on behalf of clients.
  • Provide legal guidance on corporate governance matters.
  • Assist clients in structuring and financing transactions.
  • Research and analyze legal issues related to transactional matters.
  • Maintain client relationships and communicate effectively with clients.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Oklahoma State Bar and in good standing.
  • 4+ years of experience in transactional law, preferably in a law firm setting.
  • Strong working knowledge of acquisition agreements and other complex transactional documents.
  • Familiarity with corporate governance principles and practices.
  • Excellent writing skills with attention to detail.
  • Ability to prioritize tasks and manage workload effectively.
  • Strong work ethic and commitment to delivering high-quality legal services.
  • Effective communication and interpersonal skills.

 

Education:

Juris Doctor (J.D.) degree from an accredited law school.

 

Certifications:

Admission to the Oklahoma State Bar and in good standing.

 

Skills:

  • Prior experience in transactional law, particularly in M&A, public finance, trust and estates, commercial real estate, corporate law, or secured finance.
