A law firm seeks a senior associate to join its prestigious Tax Credit Finance team in Denver, CO. This position involves leading and assisting with the structuring of tax credit transactions, drafting and negotiating key financial and legal documents, and managing projects through due diligence and execution. Duties:

  • Lead and assist in structuring tax credit transactions, including historic tax credits and renewable energy tax credits.
  • Review and analyze financial projections, and negotiate business and legal aspects of deals.
  • Draft, review, and negotiate tax equity and loan documents, as well as provide legal opinions related to transactions.
  • Conduct thorough due diligence to ensure accuracy and compliance with all legal requirements.
  • Manage projects from start to finish, coordinating with internal and external stakeholders to ensure successful execution.
  • Provide legal advice and guidance on tax credit financing and related areas.

Requirements:

  • 7-8 years of relevant law firm experience with a focus on tax credit finance, including expertise in historic tax credits and renewable energy tax credits.
  • Proven ability to handle all phases of tax credit transactions, from structuring to negotiation.
  • Strong experience drafting and reviewing legal documents related to tax equity and loans.
  • Experience managing due diligence processes and overseeing project execution.
  • Excellent communication and negotiation skills with the ability to work collaboratively in a team environment.
  • Ability to handle complex legal matters and offer innovative solutions to clients.

Education:

  • Juris Doctor (J.D.) from a nationally accredited law school with a strong academic record.

Certifications:

  • Admission to the state bar in the jurisdiction where the candidate will practice.
