ECVC Associate Attorney

Job Overview:
A law firm in Boston, MA, is seeking an experienced ECVC (Emerging Companies & Venture Capital) Associate Attorney to join its dynamic team. The ideal candidate will have 5-7 years of specialized experience in ECVC and a strong background in representing high-growth startups and venture capital investors. This role requires a deep understanding of the unique legal needs of emerging companies and venture capital transactions.

Duties and Responsibilities:

• Represent high-growth startups and venture capital investors in all stages of their business lifecycle.
• Lead and manage complex venture capital financing transactions, including seed, Series A, and later-stage investments.
• Advise clients on corporate governance, compliance, and regulatory matters relevant to emerging companies.
• Draft and negotiate various legal documents, including term sheets, stock purchase agreements, and other investment-related agreements.
• Provide counsel on equity compensation, intellectual property, employment, and other operational matters.
• Assist clients with mergers, acquisitions, strategic partnerships, and exit strategies.
• Stay current on legal developments and industry trends in the ECVC space to provide cutting-edge advice.
• Collaborate with other attorneys in the firm on cross-disciplinary matters.
• Participate in client development and networking activities to strengthen client relationships and build new business opportunities.
• Mentor junior associates and support staff, providing guidance and oversight on legal matters.

Requirements:

• 5-7 years of experience in ECVC legal practice, explicitly representing high-growth startups and venture capital investors.
• Proven track record in managing venture capital financing transactions from inception to closing.
• In-depth knowledge of corporate law, securities law, and other legal issues affecting emerging companies.
• Strong understanding of the venture capital ecosystem and the needs of both startups and investors.
• Exceptional drafting, negotiation, and communication skills.
• Ability to work effectively in a fast-paced, collaborative environment.
• Strong client relationship management skills.

Education and Certifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Massachusetts Bar or the ability to obtain admission promptly.
