Job Overview:
A leading law firm is seeking a Corporate Associate with 4–6 years of experience in public company and capital markets to join its growing legal team. This role involves advising on complex compliance matters, governance issues, and representing clients in high-profile transactions. The firm represents a wide array of public companies, particularly in the innovative technology and life sciences sectors.

Location:

  • Los Angeles, CA

Duties:

  • Advise public companies on SEC reporting compliance, disclosure requirements, and corporate governance

  • Address day-to-day legal and regulatory issues for public companies

  • Counsel clients on Nasdaq and NYSE listing compliance

  • Represent issuers and/or investment banks in capital markets transactions including:

    • Initial Public Offerings (IPOs)

    • Equity and debt offerings

    • Private Investments in Public Entities (PIPEs)

    • At-the-market offerings

  • Work with clients in technology and/or life sciences sectors

Requirements:

  • 4–6 years of relevant experience in public company representation and capital markets

  • Strong background in SEC compliance, governance, and disclosure matters

  • Demonstrated ability to handle complex corporate and securities law issues

  • Experience with both issuer and underwriter representation preferred

  • Familiarity with the legal challenges faced by high-growth companies

Education:

  • Juris Doctor (J.D.) degree from an accredited law school

Certifications:

  • Active membership in the Bar of at least one U.S. jurisdiction

  • Admission to the relevant state bar for the office location preferred or required

Skills:

  • Deep knowledge of federal securities laws and stock exchange rules

  • Excellent drafting, negotiation, and communication skills

  • Ability to manage multiple projects and client expectations simultaneously

  • Strong analytical and strategic thinking abilities
