Duties:

  • Handle a variety of corporate law matters, including business formation, mergers and acquisitions, and business succession planning.
  • Ensure compliance with securities laws and regulations, including private placements.
  • Draft, review, and negotiate business contracts and agreements.
  • Manage real estate transactions, debt financing, and equity financing matters.
  • Provide legal advice on general corporate issues and governance.
  • Collaborate with colleagues to deliver high-quality legal services.
  • Maintain strong client relationships by offering timely and concise advice.

Requirements:

  • Minimum of 5 years of experience in corporate law, particularly in securities compliance, mergers and acquisitions, and contract drafting.
  • Strong interpersonal and communication skills, with the ability to simplify complex legal concepts for clients.
  • Proven ability to work in a fast-paced environment and handle client matters outside of standard business hours.
  • A collaborative team player with a client-focused approach.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in the state of Kentucky.

Skills:

  • Expertise in securities law compliance, mergers and acquisitions, and business formation.
  • Strong written and verbal communication skills, with the ability to effectively communicate complex matters.
  • Excellent time management and organizational skills.
  • Ability to work independently and as part of a collaborative team.
