A law firm seeks a highly skilled and experienced Mergers & Acquisitions (M&A) Clearance Attorney to join its dynamic team in Washington, D.C. The ideal candidate will possess 3-9 years of experience in antitrust and competition law, specifically related to M&A clearance. This position is ideal for an attorney looking to work on regulatory matters rather than antitrust litigation. The role involves assessing HSR reportability, preparing HSR forms, managing filing preparations, and collaborating with clients, corporate teams, and opposing counsel. Training and support will be provided by senior team members in the firm.

Duties:

  • HSR Compliance: Assess the reportability of mergers and acquisitions under the Hart-Scott-Rodino Antitrust Improvements Act (HSR Act), and prepare and file HSR forms.
  • Client & Team Coordination: Collaborate with clients, corporate teams, and opposing counsel in preparing filings and managing compliance requirements.
  • Antitrust Analysis: Engage in substantive analysis of competitor transactions, Second Request responses, and general antitrust counseling matters.
  • Regulatory Affairs: Work with the European-based team on international merger control compliance for cross-border transactions.
  • Research & Drafting: Conduct in-depth research on regulatory requirements and draft communications and filings related to M&A clearance.
  • Deadlines & Detail Management: Ensure that all filings and documents are prepared accurately and on time, meeting regulatory deadlines.

Requirements:

  • Experience: 3-9 years of experience in antitrust/competition law, with a focus on M&A clearance and regulatory compliance.
  • Skills: Strong drafting and communication skills, with exceptional attention to detail.
  • Analytical Thinking: Ability to conduct substantive analysis of antitrust matters and competitor transactions.
  • Client Interaction: Comfortable working with clients, corporate teams, and other stakeholders to navigate regulatory requirements.
  • Deadline-Oriented: Ability to manage multiple tasks and prioritize work under tight deadlines.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active license to practice law in Washington D.C.

Skills:

  • Antitrust & Competition Expertise: In-depth knowledge of antitrust laws, including the HSR Act and other relevant regulatory frameworks.
  • Drafting & Communication: Excellent legal drafting and communication skills for preparing filings and liaising with stakeholders.
