Duties

• Advise general partners and limited partners on fund structuring and documentation

• Draft and negotiate fund offering documents and related contracts

• Assist clients in navigating regulatory and compliance requirements

• Counsel clients on day-to-day operational and governance matters

• Contribute to due diligence and investment review processes

• Work collaboratively with internal teams across practice areas

• Mentor junior associates and support their professional development

• Engage directly with clients and build long-term relationships

• Maintain awareness of market trends and regulatory changes in private funds

Requirements

• 5-8 years of post-JD experience in asset management and private funds

• Prior experience representing both fund sponsors and investors

• Strong understanding of fund formation and operations

• Demonstrated ability to handle complex transactions with minimal supervision

• Excellent written and verbal communication abilities

• Adept at managing multiple matters simultaneously

Education

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications

• Admission to the New York State Bar (or ability to waive in)
