Corporate Associate Crypto/Blockchain

Job Overview:
A leading law firm is seeking a Corporate Associate with 3-6 years of transactional experience, specializing in Crypto and Blockchain. The ideal candidate will have experience advising crypto and Web3 companies on various types of transactions, such as venture capital financings, token issuances, and digital asset sales. Knowledge of blockchain technology, as well as familiarity with securities law and regulatory issues in the crypto space, is essential. This position offers the opportunity to work with high-growth technology companies across a wide range of industries, including fintech, artificial intelligence, and digital media.

Location:

• San Francisco, CA

Duties:

• Advise crypto and Web3 companies on venture capital financings, including crypto token rights or token warrants
• Assist with crypto token, digital asset, and NFT issuances
• Facilitate primary and secondary sales of crypto tokens and digital assets
• Help create offshore structures related to crypto token and digital asset issuances
• Provide legal counsel on blockchain technology and securities law issues related to crypto tokens
• Support clients in a range of industries, including fintech, artificial intelligence, gaming, big data, cleantech, and more

Requirements:

• 3-6 years of transactional experience with a focus on crypto, blockchain, and Web3
• Proven experience in advising on venture capital financings, NFT issuances, and digital asset sales
• In-depth understanding of blockchain technology and crypto markets
• Familiarity with securities law and regulatory issues in the crypto space
• Ability to manage multiple projects in a fast-paced, collaborative environment
• Strong communication and negotiation skills
• Excellent drafting and research abilities

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Admission to the State Bar (preferred jurisdiction based on location)

Skills:

• Strong background in crypto, blockchain, and Web3 technologies
• Expertise in advising on venture capital financings, NFT issuances, and digital asset sales
• Proficiency in securities law and regulatory compliance for crypto tokens
