A law firm seeks an experienced Corporate Finance Associate to join its growing team in Chicago, IL. This position offers an exciting opportunity to work on a broad range of finance-related transactions, including debt private placements, secured and unsecured lending, and complex real estate financing. The ideal candidate will have 2-6 years of experience in transactional law, with a focus on finance or real estate, and a strong understanding of commercial and securities law as it relates to financial transactions.

Duties:

  • Represent clients, including banks, insurance companies, and financial institutions, in both domestic and cross-border debt private placements.
  • Provide legal counsel on secured and unsecured lending transactions, equipment leasing, and real estate financing matters.
  • Draft, review, and negotiate offering documents, transaction documents, and financing statements.
  • Assist in or lead closings of debt-related transactions, ensuring all legal requirements are met.
  • Act as debt counsel in traditional, leveraged, synthetic, and capital lease transactions.
  • Address complex commercial and securities law issues as they pertain to finance transactions.
  • Represent clients in financing transactions involving a variety of asset classes.

Requirements:

  • 2-6 years of experience in transactional law, with a focus on finance, real estate, or corporate transactions.
  • Experience working on debt private placements, secured/unsecured lending, and other finance-related transactions.
  • Strong ability to handle multiple projects simultaneously and efficiently, often under tight deadlines.
  • Impressive academic credentials and experience in handling complex negotiations.
  • Superior oral and written communication skills, with the ability to engage clients and negotiate effectively.
  • Strong analytical skills and understanding of business, market, and industry dynamics.
  • Bar membership in the jurisdiction where the candidate will be based, or eligibility to waive into the bar.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the State Bar of the jurisdiction in which the position will be located (or eligibility for bar admission).

Skills:

  • Experience in transactional finance, including lending, debt placements, and real estate financing.
  • Proficiency in negotiating complex finance and transaction documents.
  • Strong interpersonal skills with the ability to work effectively with clients and team members.
  • Exceptional writing and communication abilities.
  • Solid understanding of commercial and securities law as it relates to financing transactions.
  • Ability to manage multiple projects and competing priorities efficiently.
