Duties:

  • Advise clients on legal issues related to private equity funds, hedge funds, and other investment management vehicles.
  • Draft and review fund formation documents, subscription agreements, and other related legal documents.
  • Provide regulatory compliance guidance on SEC and other regulatory matters affecting asset managers.
  • Assist clients in structuring and negotiating complex investment transactions.
  • Conduct legal research and analysis on relevant financial regulations and market trends.
  • Collaborate with colleagues on firm-wide initiatives and client development efforts.
  • Participate in firm diversity and inclusion programs as part of leadership opportunities.

Requirements:

  • 4-8 years of experience in asset management, specifically with private equity or hedge funds.
  • Strong background in drafting and reviewing fund-related documentation.
  • Familiarity with SEC regulations and other relevant financial regulations.
  • Exceptional analytical and problem-solving skills.
  • Excellent written and verbal communication abilities.
  • Ability to manage multiple complex transactions simultaneously.
  • Team-oriented mindset with the ability to work collaboratively across offices.

Education:

  • Juris Doctor (J.D.) degree from an ABA-accredited law school.

Certifications:

  • Admission to the New York State Bar.

Skills:

  • Strong drafting, negotiation, and legal research skills.
  • In-depth knowledge of private equity and hedge fund structures.
  • Excellent attention to detail and the ability to work in a fast-paced environment.
  • Strong client management and relationship-building skills.
  • Ability to lead and mentor junior attorneys.
