Corporate Special Counsel

Job Overview: A law firm in Washington, DC is seeking an experienced Corporate Special Counsel to join its highly regarded Corporate Practice. This is a non-partnership track role designed for a seasoned transactional attorney who will handle a wide range of corporate legal matters. The ideal candidate will be adept at managing mergers and acquisitions, joint ventures, corporate governance, financing, and other complex business transactions. Location:

Duties:

• Handle corporate legal matters, including mergers & acquisitions, joint ventures, financing, and corporate governance.
• Lead and manage various business transactions with a high degree of autonomy.
• Collaborate with a team of attorneys to provide comprehensive legal solutions for clients.
• Draft, review, and negotiate complex contracts and legal documents related to corporate transactions.
• Advise clients on corporate governance and other business-related legal issues.

Requirements:

• Minimum of six years of experience in corporate law, including mergers & acquisitions, joint ventures, and corporate governance.
• Strong transactional background with the ability to handle a variety of corporate matters.
• Excellent legal research, writing, and drafting skills.
• Proven ability to work independently and manage multiple projects.
• Strong interpersonal and communication skills for effective client management.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Active bar membership in the District of Columbia or eligibility to waive in.

Skills:

• Expertise in corporate law, including M&A, joint ventures, and business transactions.
• Strong analytical and problem-solving abilities.
• Excellent drafting, negotiation, and client management skills.
