A law firm specializing in Investment Funds seeks an Investment Funds Regulatory Associate Attorney to join its Washington, DC, office. The role involves working within the Regulatory Solutions practice of the Investment Funds Group, focusing on representing registered and exempt investment advisers and private U.S. and offshore investment funds.

Duties

  • Advise fund sponsors on the formation and operational aspects of investment funds.
  • Review and analyze offering materials, organizational documents, private placement memoranda (PPM), and limited partner agreements (LPA).
  • Guide compliance with the Investment Advisers Act 1940 and other relevant regulatory frameworks.
  • Prepare and submit annual filings to the SEC and assist in responding to regulatory examinations.
  • Conduct research and draft memoranda on regulatory issues affecting private investment funds.

Requirements

  • Juris Doctor (JD), Master of Laws (LLM), or foreign equivalent degree.
  • Admission to the District of Columbia Bar.
  • 1-5 years of experience as an Associate in a global law firm's Investment Management practice group.
  • Prior experience advising on fund formation and operation essential.
  • Proven track record in reviewing and drafting investment fund documentation.
  • Familiarity with compliance matters under the Investment Advisers Act of 1940.
  • Experience in preparing SEC filings and handling regulatory inquiries preferred.

Skills
