A law firm is seeking a highly skilled and experienced Mid-to-Senior Tax-Exempt Organizations and Philanthropy Associate Attorney to join their team in Sacramento, CA. The ideal candidate will have substantial expertise in advising private foundations, charitable organizations, and philanthropists on a broad spectrum of complex legal and tax-related matters. This position requires a strong foundation in nonprofit law, tax compliance, and corporate governance, particularly for large 501(c)(3) organizations. The successful candidate will also represent tax-exempt entities in audits and oversee intricate structures involving both for-profit and not-for-profit entities.

Job Responsibilities:

  • Advise private foundations and charitable organizations on complex legal and tax matters.
  • Form and obtain tax-exempt status for nonprofit corporations and charitable trusts.
  • Counsel private foundations on grant agreements, tax compliance, and succession planning.
  • Provide strategic advice to philanthropists on charitable giving, including the use of donor-advised funds.
  • Guide large 501(c)(3) organizations on corporate governance, tax exemption issues, and Unrelated Business Taxable Income (UBTI) matters.
  • Structure mergers, affiliations, and joint ventures for nonprofit organizations.
  • Provide legal counsel on complex structures involving both for-profit and not-for-profit entities.
  • Represent tax-exempt organizations in federal and state audits involving tax and charitable issues.

Education and Certification Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in good standing with the California State Bar (or the ability to waive in).

Skills and Qualifications:

  • Significant experience advising private foundations and charitable organizations on legal and tax issues.
  • Expertise in forming tax-exempt entities, including obtaining IRS determination letters.
  • Strong understanding of tax compliance for private foundations, including the IRS Form 990-PF and other reporting obligations.
  • Proven ability to advise philanthropists on structuring charitable gifts and utilizing donor-advised funds.
  • Experience in handling mergers, affiliations, and joint ventures between nonprofit organizations.
  • Familiarity with the complex interactions between for-profit and not-for-profit entities.
  • Ability to represent clients in federal and state tax audits, particularly in the areas of charitable and tax-exempt law.
  • Strong legal research, writing, and communication skills.
  • Excellent client relations and interpersonal skills.
