A law firm is seeking a Mid-Level Associate Attorney to join their corporate transaction practice group in New York City. The ideal candidate will have significant experience in drafting, negotiating, and reviewing a wide range of security and credit documents, and will play a crucial role in various corporate finance and merger and acquisition transactions.

Duties and Responsibilities:

  • Draft, negotiate, and review security documents including pledge agreements and guarantee and collateral agreements.
  • Draft, negotiate, and review credit agreements and ancillary transaction documents, such as officer’s certificates, resolutions, corporate authorizations, legal opinions, and UCC financing statements (UCC-1s and UCC-3s).
  • Conduct change of control analysis for corporate clients’ existing debt facilities in merger and acquisition transactions.
  • Draft deal structure consideration memorandums for clients involved in mergers, acquisitions, and bank finance transactions.
  • Draft, negotiate, and review payoff letters related to the termination of loan and credit facilities in merger and acquisition transactions.
  • Track and manage communications among parties, including subject matter experts, opposing counsel, clients, and counterparties.
  • Maintain and update deal checklists to ensure all tasks and deadlines are met.
  • Collaborate effectively with internal teams and clients to advance transaction processes.

Requirements:

  • Juris Doctor (JD) degree or equivalent.
  • Admitted to practice law in the State of New York.
  • 2 years of experience drafting, negotiating, and reviewing security documents, credit agreements, and ancillary transaction documents.
  • Experience with UCC filings (UCC-1s and UCC-3s) and conducting change of control analyses in M&A transactions.
  • Proven ability to draft deal structure consideration memorandums and payoff letters.

Education:

  • Juris Doctor (JD) degree or equivalent from an accredited law school.

Certifications:

  • Admission to practice law in the State of New York.

Skills:

  • Strong drafting, negotiating, and analytical skills.
  • Proficiency in handling complex security and credit documents.
  • Excellent organizational skills with the ability to maintain detailed deal checklists and track communications effectively.
  • Demonstrated experience in corporate finance and M&A transactions.
  • Ability to work independently and collaboratively within a team.
  • Excellent verbal and written communication skills.
