The candidate should excel in due diligence processes, transaction structuring, and securities offerings.

Duties:

  • Negotiate and draft primary and ancillary documents for mergers, acquisitions, divestitures, joint ventures, credit facilities, and other corporate transactions.
  • Participate in due diligence for targets and acquirers, focusing on transaction and entity structuring and related tax matters.
  • Represent issuers in private placements of equity securities and underwriters in securities offerings.
  • Ensure securities reporting compliance and represent borrowers in procuring senior and mezzanine credit facilities.

Requirements:

  • Must possess a Missouri law license.
  • Strongly preferred background in CPA, accounting, and/or finance.
  • Minimum of 3+ years of experience in negotiating and drafting corporate transaction documents.
  • Broad knowledge and deep understanding of general corporate law, tax, and accounting principles.
  • Experience in due diligence, transaction structuring, and securities offerings.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Missouri law license required.
  • CPA certification is preferred.
