Duties

  • Prepare, negotiate, and revise asset purchase agreements, stock purchase agreements, and ancillary agreements for company sales.
  • Stay informed on market terms in small and middle market M&A transactions.
  • Maintain working knowledge of tax, intellectual property, employment, and privacy matters relevant to M&A.
  • Understand basic aspects of HSR requirements, patent law, employment laws, and FDA approval processes for medical devices.
  • Advise on corporate governance and fiduciary duty matters.
  • Draft and review company sale waterfall spreadsheets, shareholder agreements, and various employment-related agreements.
  • Prepare and negotiate investment agreements from Series AA to Series D.
  • Support clients in angel and venture capital transactions, including knowledge of Regulation D and market terms.
  • Draft and negotiate distribution, manufacturing, and supply agreements.
  • Prepare background memos, articles, and blog posts on issues relevant to emerging companies.
  • Develop and refine content for automated forms and systems.
  • Cultivate and maintain strong relationships with emerging company clients, especially in the upper Midwest technology community.

Requirements

  • Minimum of 5 years of experience in corporate law and M&A.
  • Strong contract drafting and negotiation skills, with an ability to handle complex transactions.
  • Prior experience in healthcare IT, life sciences, medical devices, software, or fintech sectors is preferred.
  • Excellent communication skills and the ability to build client relationships.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Active license to practice law in Wisconsin or eligibility to waive in.

  • Strong analytical and problem-solving skills.
