Job Overview:
A prestigious law firm is looking to expand its Business Group and is seeking an experienced Mergers & Acquisitions Attorney with 6+ years of experience in business transactions. The successful candidate will play a key role in structuring, negotiating, and managing mergers and acquisitions, along with other complex business matters, for corporate clients. The role offers significant responsibility, with opportunities for growth and leadership within the firm.

Location:

  • Richmond, VA

Duties:

  • Advise corporate clients on a wide range of business matters, including entity formation, structuring, key contracts, and mergers and acquisitions.
  • Draft and negotiate various transaction documents, including asset purchases, financing, buy-sell arrangements, corporate governance, options, warrants, deferred compensation, buyouts, and confidentiality agreements.
  • Lead and manage significant aspects of transactions from structuring to closing, including overseeing due diligence processes.
  • Provide legal counsel on raising debt and private equity capital.
  • Collaborate with other teams in the firm’s Business Group to meet client needs.
  • Manage client relationships with C-suite executives, management, and business owners.
  • Be available to work outside typical business hours to meet deadlines as required.

Requirements:

  • 6+ years of experience in business transactions and M&A law.
  • Substantial experience in drafting and negotiating M&A, financing, and corporate governance documents.
  • Experience with advising various business entities and providing legal support to executive management.
  • Entrepreneurial drive and desire to build a client base.
  • Strong attention to detail, organizational skills, and ability to meet deadlines.
  • Ability to handle complex transactions and work independently with minimal supervision.
  • Excellent communication skills, both written and verbal.

Education:

  • Juris Doctor (J.D.) from an ABA-accredited law school.

Certifications:

  • Active license to practice law in Virginia.

Skills:

  • Strong legal research and drafting skills.
  • Ability to structure and manage large transactions effectively.
  • Proven ability to negotiate complex agreements.
  • Client service-oriented with a proactive approach.
