Senior-Level Corporate Associate Attorney

Job Overview: A law firm in Stamford, CT, is seeking a highly experienced Senior-Level Corporate Associate Attorney to join their dynamic team. The ideal candidate will provide expert legal counsel on mergers and acquisitions, private securities offerings, corporate governance, and related matters.

Duties:

• Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and related matters.
• Draft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreements.
• Conducted due diligence investigations and prepared comprehensive reports for clients.
• Manage and oversee junior associates and paralegals on various transactions.
• Collaborate with cross-functional teams to ensure seamless execution of deals.
• Stay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clients.
• Represent clients in negotiations, mediation, and other dispute-resolution processes when necessary.
• Ensure public securities and stock exchange compliance, including familiarity with 34 and 33 Act regulations (a plus).

Requirements:

• Minimum 5 years of experience with a solid foundation in mergers and acquisitions, securities matters, and lending work.
• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the Connecticut Bar (CT Bar admission is required).
• Strong knowledge of corporate law, securities regulations, and corporate governance principles.
• Excellent drafting and negotiation skills, with meticulous attention to detail.
• Proven ability to manage multiple complex projects simultaneously.
• Exceptional analytical and problem-solving abilities.
• Excellent interpersonal and communication skills, both written and verbal.
• Ability to work independently and collaboratively in a fast-paced and demanding environment.

Education and Certifications:

• Juris Doctor (J.D.) degree from an accredited law school.
