A law firm is seeking a talented and experienced Mid-level Corporate Associate Attorney to join their Seattle, WA office. The ideal candidate will have a robust background in advising public companies and investment banks, with a focus on SEC compliance, disclosure, governance, and exchange matters. Additionally, experience in capital market transactions such as IPOs, SPACs, direct listings, and follow-on offerings is essential. Preference will be given to candidates with experience or a strong interest in technology and/or life sciences companies. The candidate must possess superior academic credentials and excellent oral, written, and interpersonal skills.

Key Responsibilities

  • Advise public companies on SEC compliance, disclosure, governance, and exchange matters.
  • Represent issuers or investment banks in capital market transactions, including:
    • Initial Public Offerings (IPOs)
    • Special Purpose Acquisition Companies (SPACs)
    • Direct listings
    • Follow-on offerings
  • Provide strategic legal counsel to clients in the technology and life sciences sectors.
  • Collaborate with clients to ensure compliance with regulatory requirements and corporate governance best practices.
  • Draft, review, and negotiate a variety of corporate documents and agreements.
  • Conduct thorough legal research and analysis to support client needs and firm initiatives.
  • Maintain up-to-date knowledge of relevant laws, regulations, and industry trends.
  • Participate in business development activities and contribute to the growth of the firm’s corporate practice.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar admission in the state of Washington.
  • Minimum of 3 years of experience advising public companies or investment banks.
  • Proven experience with SEC compliance, disclosure, governance, and exchange matters.
  • Strong background in capital market transactions, including IPOs, SPACs, direct listings, and follow-on offerings.
  • Experience with or a strong interest in technology and/or life sciences companies.
  • Superior academic credentials.
