Job Overview: A law firm seeks a Senior-Level Corporate Associate Attorney to provide expert legal counsel on mergers and acquisitions, private securities offerings, corporate governance, and related matters. The role involves drafting complex transactional documents, conducting due diligence, managing junior associates, and ensuring compliance with legal standards.

  • Duties:

    • Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, and corporate governance matters.
    • Draft and negotiate complex transactional documents such as purchase agreements, shareholder agreements, and confidentiality agreements.
    • Conduct thorough due diligence investigations and prepare detailed reports for clients.
    • Manage and supervise junior associates and paralegals involved in various transactions.
    • Collaborate effectively with cross-functional teams to facilitate smooth execution of deals.
    • Stay informed about relevant legal developments and industry trends to offer proactive and strategic advice.
    • Represent clients in negotiations, mediation, and dispute resolution processes when required.
    • Ensure compliance with public securities and stock exchange regulations, including familiarity with 34 Act and 33 Act.
  • Requirements:

    • Juris Doctor (J.D.) degree from an accredited law school.
    • Minimum 5 years of experience in mergers and acquisitions, securities matters, and lending work within a law firm setting.
    • Strong knowledge of corporate law, securities regulations, and corporate governance principles.
    • Excellent drafting and negotiation skills with meticulous attention to detail.
    • Proven ability to manage multiple complex projects concurrently.
    • Exceptional analytical and problem-solving abilities.
    • Outstanding interpersonal and communication skills, both written and verbal.
    • Ability to thrive in both independent and collaborative work environments.
    • Admission to the Texas State Bar is required.
  • Preferred Skills:

    • Experience with public securities and stock exchange compliance.
    • Familiarity with 34 Act and 33 Act regulations.
