Duties:

  • Provide tax planning and advisory services across federal, state, and international tax matters.
  • Advise clients on mergers and acquisitions, capital markets, and corporate finance transactions.
  • Support clients with equity financings, technology transfers, and complex licensing and collaboration arrangements.
  • Assist with both domestic and international tax planning strategies.
  • Collaborate with other departments to offer comprehensive, cross-disciplinary legal services.
  • Maintain strong client relationships and deliver high-quality service in a fast-paced environment.
  • Draft and review tax-related documents, agreements, and filings.
  • Manage a diverse case load while meeting deadlines and client expectations.
  • Participate in business development efforts, including client presentations and pitches.

Requirements:

  • 5+ years of experience in tax law, with a focus on mergers and acquisitions, capital markets, and corporate finance.
  • Strong knowledge of federal, state, and international tax law.
  • Previous experience working with clients in technology, life sciences, or growth enterprises is preferred.
  • Ability to work effectively in a fast-paced, high-pressure environment.
  • Excellent verbal, written, and interpersonal communication skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently as well as in a team-oriented environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Active bar membership in a relevant jurisdiction.
  • Additional certifications (e.g., CPA) are a plus but not required.

Skills:

  • Expertise in federal, state, and international tax law.
  • Strong understanding of corporate tax issues, including mergers, acquisitions, and financing.
  • Experience with technology transfers, licensing agreements, and tax planning.
  • Exceptional communication skills, both written and verbal.
  • Client-focused with the ability to build and maintain long-term relationships.
  • Collaborative team player with strong organizational skills.
