Job Overview

A mid-sized law firm located in Dallas, TX, is seeking a Banking/Finance Attorney with 2-5 years of experience to join its practice. This role requires expertise in drafting and negotiating financing documents, intercreditor agreements, and handling matters related to workouts, restructurings, and foreclosures. The ideal candidate will have experience in real estate lending, commercial lending, asset-based lending, and related banking and finance areas. Duties

  • Draft and negotiate financing documents, intercreditor agreements, and related contracts.
  • Assist with workouts, restructurings, and foreclosure proceedings, including both real and personal property.
  • Review title and survey documents, including familiarity with title insurance regulations.
  • Conduct UCC search reviews and organizational document reviews.
  • Provide due diligence coordination, research, and analysis.
  • Advise clients, including financial institutions, on various aspects of banking and finance law.
  • Collaborate effectively with colleagues and clients to resolve complex issues and provide strategic advice.
  • Maintain high standards of client service and communication throughout all stages of the legal process.

Requirements

  • Licensed to practice law in Texas.
  • 2-5 years of experience in banking/finance law.
  • Strong experience with drafting and negotiating banking and finance documents, including intercreditor agreements and loan documentation.
  • Background in real estate lending, commercial lending, asset-based lending, workouts, restructurings, and foreclosures.
  • Excellent oral and written communication skills.
  • Detail-oriented with strong analytical abilities.
  • Proactive, self-starter with a commitment to providing high-quality client service.
  • Ability to work under pressure and manage multiple projects with effective time management.
  • Strong academic background with outstanding academic achievement.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Licensed to practice law in Texas.

  • Expertise in banking and finance law, including real estate and commercial lending, asset-based lending, and restructurings.
  • Strong drafting and negotiation skills in finance-related agreements.
  • Title and survey review experience, including familiarity with title insurance regulations.
