A law firm is seeking a talented and motivated Tax Equity Associate Attorney to join its Houston, TX office. The ideal candidate will have significant experience in tax equity financings, particularly for renewable energy projects, as well as expertise in tax credit transfer transactions. This role is best suited for an attorney with strong academic credentials and proven experience in structuring mergers and acquisitions (M&A) transactions. The successful candidate will work closely with the firm’s clients to navigate the complex legal landscape of renewable energy tax credits and financing structures.

Key Responsibilities:

  • Structure, negotiate, and execute tax equity financing agreements for renewable energy projects, including solar, wind, and other clean energy initiatives.
  • Provide counsel on tax credit transfer transactions, focusing on the legal, tax, and financial implications for clients.
  • Advise clients on federal and state tax incentives related to renewable energy projects, including Investment Tax Credits (ITCs) and Production Tax Credits (PTCs).
  • Collaborate with clients, financial institutions, and internal teams to structure mergers and acquisitions (M&A) transactions in the renewable energy sector.
  • Draft, review, and revise legal documents such as partnership agreements, loan agreements, and tax-related documents.
  • Conduct due diligence and risk analysis related to renewable energy project financing and M&A transactions.
  • Represent clients in negotiations with counterparties, including investors, financial institutions, and regulatory bodies.
  • Ensure compliance with applicable tax laws, regulations, and industry standards.
  • Stay updated on legal developments, tax reforms, and policy changes affecting renewable energy financing and tax equity structures.
  • Provide thought leadership and strategic advice to clients on maximizing tax benefits and navigating the regulatory framework for renewable energy projects.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in Texas (or eligible for admission).
  • Excellent academic record, demonstrating strong legal knowledge and problem-solving skills.

Experience:

  • 3+ years of experience in structuring and handling mergers and acquisitions (M&A) transactions, with a preference for experience in the renewable energy sector.
  • Substantial experience with tax equity financing structures and tax credit transfer transactions, particularly in renewable energy projects.
  • Familiarity with federal and state tax credit programs, including ITCs and PTCs, as well as other renewable energy incentives.

  • Strong research and analytical skills, with the ability to interpret complex tax laws and regulations.
  • Excellent drafting and writing skills, with attention to detail and precision in legal documentation.
  • Effective communication and negotiation skills, with the ability to work closely with clients and financial institutions.

  • Strong organizational skills and the ability to manage complex, multifaceted projects.

Certifications & Licenses:

  • Licensed to practice law in Texas, or eligible for admission.

Preferred Qualifications:

  • Experience working with renewable energy developers and investors.
  • In-depth knowledge of federal and state tax policies affecting renewable energy projects.
  • Familiarity with market trends and regulatory changes in the renewable energy financing sector.
