Key Responsibilities:

  • Handle complex corporate transactions, including mergers and acquisitions, private equity investments, and venture capital financing.
  • Manage private placements of debt and equity securities and strategic joint ventures.
  • Provide expert counsel on corporate governance and private investment funds.
  • Draft, review, and negotiate transaction documents, agreements, and other legal instruments.
  • Collaborate with clients to develop and implement effective strategies for various corporate matters.
  • Conduct thorough due diligence and provide detailed analyses of transaction risks and opportunities.
  • Represent clients in meetings, negotiations, and regulatory matters as needed.
  • Maintain up-to-date knowledge of relevant laws, regulations, and industry trends to provide accurate and timely legal advice.

Requirements:

  • A minimum of 4 years of demonstrated corporate transactional experience.
  • Strong experience in mergers and acquisitions, private equity transactions, and venture capital financing.
  • Proven expertise in private placements of debt and equity securities, strategic joint ventures, and capital markets.
  • In-depth knowledge of corporate governance, private investment funds, and general corporate matters.
  • Bar admission in good standing in Connecticut.
  • Excellent technical, professional, and client service skills.
  • Outstanding written and verbal communication skills.
  • Ability to work effectively in a team-oriented environment with a focus on collaboration.
  • Strong problem-solving capabilities with the ability to work independently and proactively.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
