A law firm seeks an experienced Capital Markets Associate Attorney for its Houston office. Duties:

  • Advise clients on capital markets transactions, including both debt and equity offerings.
  • Provide legal counsel to public companies on compliance with securities laws and corporate governance.
  • Draft and review securities offering documents, including prospectuses and registration statements.
  • Assist in regulatory filings with the Securities and Exchange Commission (SEC) and other relevant bodies.
  • Participate in the preparation and review of corporate disclosure documents and reports.
  • Collaborate with other legal teams on transactions and corporate matters related to public companies.
  • Develop and maintain strong client relationships while providing strategic legal advice.
  • Monitor legal and regulatory changes affecting capital markets and advise clients accordingly.

Requirements:

  • 2 to 4 years of experience in capital markets or related corporate law practice.
  • Solid experience in debt and equity offerings, including working with public company representation.
  • Strong academic credentials from a reputable law school.
  • Exceptional attention to detail with the ability to manage complex legal issues.
  • Ability to work collaboratively in a fast-paced environment and meet deadlines.
  • Excellent communication and interpersonal skills, with a client-focused approach.
  • Experience with regulatory compliance and filings related to the securities industry.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active and in good standing with the bar of the state where the firm operates (preferably Texas).

Skills:

  • Expertise in capital markets law, including securities offerings and public company representation.
  • Strong writing and drafting skills, particularly in the preparation of legal documents for securities transactions.
  • Proficiency in securities regulations and compliance.
  • Ability to handle high-pressure situations and complex transactions effectively.
  • Strong organizational skills with the ability to prioritize multiple projects.
  • Client relationship management and business development abilities.
  • Preferred proficiency with legal research tools and corporate legal databases.
